Identify the commercial model
A perpetual license, time-limited license, subscription, and implementation service are different purchase items. Describe each separately, along with the hardware it supports. Do not assume that a financing structure suitable for equipment applies unchanged to a software subscription.
Ask what the partner will consider
Clarify the licensed entity, license duration, transfer restrictions, payment schedule, implementation milestones, and cancellation rights. Ask the partner to identify which portions of the project could be included in an offer, if any.
Keep the vendor and financing obligations distinct
A software performance dispute does not automatically determine the obligations under a separate financing agreement. Have the proposed documents reviewed together so your team understands who is responsible for support, acceptance, refunds, and any continued payments.
- Who owns the license and who may use it?
- What happens when the subscription expires?
- Which costs are recurring rather than upfront?
- Are supplier acceptance criteria documented?
